How Business Succession Planning Can Protect Business Owners

What if something happens to you, and you can no longer manage your business anymore? Who will then take over your business, and will it be managed the way you want?

Establishing a sound business succession plan helps ensure that your business gets handed over more smoothly.

Business succession planning, also known as business continuation planning, is about planning for the continuation of the business after the departure of a business owner. A clearly articulated business succession plan specifies what happens upon events such as the retirement, death or disability of the owner.

A good business succession plans typically include, but not limited to:

·Goal articulation, such as who will be authorized to own and run the business;

The business owner’s retirement planning, disability planning and estate planning;

·Process articulation, such as whom to transfer shares to, and how to do it, and how the transferee is to fund the transfer;

·Analysing if existing life insurance and investments are in place to provide business funds to facilitate ownership transfer. If no, how are the gaps to be filled;

·Analysing shareholder agreements; and

·Assessing the business environment and strategy, management capabilities and shortfalls, corporate structure.

Why should business owners consider business succession planning?

·The business can be transferred more smoothly as possible obstacles have been anticipated and addressed

·Income for the business owner through insurance policies, e.g. ongoing income for disabled or critically ill business owner, or income source for family of deceased business owner

·Reduced probability of forced liquidation of the business due to sudden death or permanent disability of business owner

For certain components of a good business succession plan to work, funding is required. Some common ways of funding a succession plan include investments, internal reserves and bank loans.

However, insurance is generally preferred as it is the most effective solution and the least expensive one compared to the other options.

Life and disability insurance on each owner ensure that some financial risk is transferred to an insurance company in the event that one of the owners passes on. The proceeds will be used to buy out the deceased owner’s business share.

Owners may choose their preferred ownership of the insurance policies via any of the two arrangements, “cross-purchase agreement” or “entity-purchase agreement”.

Cross-Purchase Agreement

In a cross-purchase agreement, co-owners will buy and own a policy on each other. When an owner dies, their policy proceeds would be paid out to the surviving owners, who will use the proceeds to buy the departing owner’s business share at a previously agreed-on price.

However, this type of agreement has its limitations. A key one is, in a business with a large number of co-owners (10 or more), it is somewhat impractical for each owner to maintain separate policies on each other. The cost of each policy may differ due to a huge disparity between owners’ age, resulting in inequity.

In this instance, an entity-purchase agreement is often preferred.

Entity-Purchase Agreement

In an entity-purchase agreement, the business itself purchases a single policy on each owner, becoming both the policy owner and beneficiary. When an owner dies, the business will use the policy proceeds to buy the deceased owner’s business share. All costs are absorbed by the business and equity is maintained among the co-owners.

What Happens Without a Business Succession Plan?

Your business may suffer grave consequences without a proper business succession plan in the event of an unexpected death or a permanent disability.

Without a business succession plan in place, these scenarios might happen.

If the business is shared among business owners, then the remaining owners may fight over the shares of the departing business owner or over the percentage of the business.

There could also be a potential dispute between the sellers and buyers of the business. For e.g., the buyer may insist on a lower price against the seller’s higher price.

In the event of the permanent disability or critical illness of the business owner, the operations of the company could be affected as they might not be able to work. This could affect clients’ faith, revenue and morale in the company as well.

The stream of income to the owner’s family will be cut off if the business owner, being the sole breadwinner of the family, unexpectedly passes away.

Don’t let all the business you have built up collapse the moment you are not there. Planning ahead with a proper business succession plan before an unexpected or premature event happens can help secure your business legacy, ensuring that you and your family’s future will be well taken care of.

Microsoft Dynamics Business Central for Manufacturing – A Viable ERP System?

Why Should we care if we can use Dynamics Business Central for Manufacturing?

Given the disruption of the past year, a lot of businesses are investigating ways to work remotely and in a hybrid work environment. There are a few technologies that manufacturing companies need to use that don’t work well remotely. One of them is ERP systems. That’s why we should care about Dynamics Business Central for Manufacturing.

If you are looking to replace an ERP system because you want to ensure it facilitates remote work, cloud ERP is where you need to look. My experience is almost entirely with what is often called “SMB” or Small and Medium Business manufacturers.

There are not a lot of good, modern cloud based ERP systems in the mid-market / SMB space. There are even less that really support manufacturing. That means that the best cloud systems are priced out of most manufacturers budget.

Oh, In case you are wondering, Microsoft defines SMB as businesses with less than 250 computers. That’s a pretty large manufacturer.

What is Business Central?

In the simplest terms, Business Central is the new brand name for Microsoft Dynamics NAV. In all the ways that count this cutting edge new cloud based ERP is the old Dynamics NAV reimagined in the cloud.

Microsoft did not shirk on the technology either! They have a boat load of money, and they were willing to spend a lot of it on Business Central.

The full name of the product is Dynamics 365 Business Central. That 365 should look familiar, because it appears on Office 365, Microsoft 365 etc…

This does mean that Business Central is part of the same suite of products you might already be using for your Outlook email, Teams communication, Microsoft Word or Excel productivity tools. And yes, that is a big advantage to Microsoft. It doesn’t mean that it will work in Manufacturing however – so that remains to be seen.

How does it compare with more traditional manufacturing ERP?

I recently wrote a blog comparing Dynamics Business Central for manufacturing with a pretty well respected mid-market pure manufacturing ERP called Infor Visual ERP.

I worked extensively with Visual ERP for almost 20 years (ironically I never sold a copy in all that time). I ran the firm that people who had trouble with the system came to for help.

When I migrated my business away from Infor Visual, I investigated a lot of products. I settled on Dynamics NAV (which later became Business Central) after significant research.

By 2014 we had started switching Visual ERP customers Microsoft Dynamics Business NAV manufacturing. There are a few small areas that Visual might do a bit better in. That is more than overcome by two main factors that make Microsoft Dynamics Business Central for manufacturing really shine.

Customizability

Dynamics NAV and now Business Central are extremely easy to program, which let us enhance it in ways you absolutely could not with Visual. It’s so easy to program that we are essentially giving away “Missing” Visual features when we sell the product.

This customization let us plug any holes we found. It also allowed us to do the one thing Visual customers always cried about. We could make small, easily maintained, incremental changes. We could adjust the system to make it work better for the customer.

We avoided any kind of massive programming (although in my time I’ve seen other partners who didn’t avoid the same). We focused on making really useful changes that allowed the customer to get rapid benefits. This made a huge difference to customers. It can be a game changer when a very small change saves staff hours every week.

Dynamics 365 AppSource Addons

More or less related is the existence of addons for Microsoft Dynamics products.

When we first started selling Dynamics NAV for manufacturing, there was no AppSource. AppSource is like the Google Play store or Apple Apps store. It’s a place to go and rapidly (in seconds really) install addons.

In the early days these addons existed, were certified by Microsoft, but did not exist in any central location. Today things are even better. With Appsource we can really enhance Dynamics Business Central for manufacturing. I mention a couple of those modules below.

There are 2 schools of thought about ERP systems. You want to get a really good ERP system with: great accounting; inventory control; purchasing and sales; CRM; scheduling; shop floor execution etc…

Imagine you wanted to get a similarly priced personal item. Say you wanted to get a vehicle and a camping trailer. You went to 2 dealerships. A Ford and the other GMC.

In our fake and hypothetical Ford dealer they sell their F150 truck, with a Ford Radio, Ford Tires, and a Ford brand camping trailer. This specific ford’s rims are totally custom and don’t fit other makes of tires. Nobody makes a radio that fits their dash. The trailer is OK but not the best you’ve seen. The trailer hitch is custom built for their truck.

You have no choice. But wait! It’s all in one warranty so if anything goes wrong you can blame them and they have to fix it!

GMC sells their big truck by itself. You can choose which tires you get, so you want Michelin tires. You can add a radio, and decide to get the more expensive but awe inspiring Bose Radio. They don’t sell trainers, so you buy an Airstream.

You would never complain about GM not making their own tires or radio, and you would never want the Ford where you had no choice but to get what they sell.

Why do you want an ERP that forces you to get their proprietary versions of things instead of buying the best you can afford?

Yes, it is true. You can make money online working from home and can actually make a lot of money if you work hard, stay focused and execute. You can build a home travel business and live the Internet lifestyle you always dreamed of by operating an online home travel business. Don’t be fooled.

I am amazed at the amount of junk that there is online out there catering to the make money online from home crowd, touting selling travel as the route to freedom and riches. This truth is probably the most important fact anyone will ever tell you if you are just thinking about entering the online travel business. Let me repeat this for you one more time.

It is difficult to become rich and build a company reselling other companies travel products. You can become rich over time by building a business that sells your own uniquely branded travel products. You can get rich and build a business if you “own the travel product.”

Owning the travel product means that you are contracting directly with travel suppliers under your company’s own contracts, you are not just reselling a travel product owned by another travel business, tour operator, travel agency or travel consolidator. Your business creates the travel product by doing deals directly with travel suppliers. Your contracts with the travel suppliers become your businesses own unique inventory for the travel products you will be selling. The new travel product becomes your own brand. Your online travel business sells the travel product directly to consumers online or wholesales it too other travel agencies, travel agents, tour operators and resellers.

The Home based Travel Agent Dilemma.
I know I am opening up a can of worms here by disclosing this information but it’s really the truth. My intent is not to knock anyone down but to provide insight into how the online travel business really works and to show you WHO is really making the money and how you can make real money by deciding from the get go to actually build a business.

Yes, if you want to make $20,000-$50,000 working from home then reselling travel cruises or popular travel products will be the best option for you but if you want to make real money, six or seven figures and you want to build a business that has real tangible value and can be sold later then you need to develop and sell your own travel products.

The Internet is NOT causing Travel Agencies too shut down.
I believe that the main reason that brick and mortar travel agencies are closing is not because of the Internet but because all they are really doing is reselling other companies travel products. The Internet contributed to the destruction of the traditional brick and mortar travel agency but the biggest factor in the down fall of travel agencies and travel agents in the travel industry is due to the fact that they are not selling anything unique or different from anyone else. It’s really a business model established to fail in the long run.

How do you own your own travel product? You can own your own travel product in two different ways.

1. Your business acts as a travel supplier providing tours, guiding, travel and tourism related activities or you own a lodging property.
2. Your business partners with two or more travel suppliers to resell their individual travel products under a unique package that you own.

What type of Online Travel Business do I need to start where I can own my own travel product, sell packages and build a real business?

-Online Travel Agency
-Online Tour Operator
-Online Tour Guide
-Online Travel Broker
-Receptive Tour Operator
-the Hybrid

Let’s discuss a little about each type. There are many directions you can go.

OTAs or Online Travel Agencies traditionally sell everything underneath the sun; including lodging, air, cars, vacation packages, and much more. On a hierarchy level of all online travel businesses, this would be the most expensive and most challenging type of online business to start. It’s doable don’t get me wrong it would just take much longer and be more expensive to startup.

If you second tier niche and focus on contracting your own lodging deals and contracting with activity suppliers you could easily build a smaller more focused OTA. Another option would be for you to utilize the Global Distribution System (GDS) for air, car and for lodging that you could not contract yourself. I don’t recommend this last option as you’ll be just reselling product you don’t own but as long as you can combine the non-owned GDS products with your own contracted travel products you could create a nice win-win for the bottom line.

Online Tour Operator’s sell dynamically packaged trips and pre-packaged trips to vacationers. I believe building an online tour operator business is your best option at building a successful online travel business.

Travel Industry – Evolving, Sophisticated and Under Appreciated Industry

The printed press and social media are full of headlines such as:

” 9 Things Your Travel Agent Will Not Tell You,” “Useless Jobs,” “Travel Do it Yourself” or “How to be a Travel Hacker.” Furthermore, if you search the definition of a Travel Agency you will find information that says:

“With general public access to the Internet, many airlines and other travel companies began to sell directly to passengers. As a consequence, airlines no longer needed to pay the commissions to travel agents on each ticket sold. Since 1997, travel agencies have gradually been disintermediated”(Cutting the middle man).

Misconceptions including the belief that using a Travel Agency will cost clients more, or the infamous question, “Do travel agents still exist?” need to be addressed. Our labor of love has never been put to the test more than now, but was it always like this? Were Travel Agents always under-appreciated? Why? How is it that our 127-year-old industry is being placed in this modern-day situation?

Here’s an interesting fact: The oldest known travel agency travel in the United States is Brownell Travel, founded on July 4, 1887. Mr. Walter T. Brownell led ten travelers on a European tour, setting sail from New York on the SS Devonia. Originally, travel catered only for upper class customers, but the post-war boom opened travel to the mass market, allowing everyone to look for convenient ways to go back to Europe for “the holidays.”

I commend Mr. Brownell and his legacy, taking those early travel pioneers to the old continent. I also commend and congratulate the new owners for continuing their services today.

Changes of the perception of Travel Agents, are clear shown in the contrast of messages, of 2 of our Presidents, we were particularly praised by President John F. Kennedy in 1963, and nowadays are considered irrelevant, even according to President Obama in a 2011 speech.

The industry went through many changes, from the 60’s until now and the Travel agent, Professional Advisor, stand still loyal to their customers, regardless of the adversities, they continue being loyal to their clients, creating memories of a Lifetime.

An airplane tour may be the best option if you’re traveling with a group because a plane can carry 19 people at a time. The airplanes used on these tours have to fly at a higher altitude than the helicopters do, but an advantage is that the plane tours are less expensive. The planes have large windows, so you’ll still have a fantastic view, plus planes are more comfortable for flying, so if you need to watch your budget, booking an airplane tour is a great option to consider.

If you turn on a news channel or look on one of the well-known news sites, like Sky News, the only thing that they will be talking about is how cold it is in America, There are other things going on in the world right now. There are other things going on in America as well. We all know that the weather is bad and people are suffering but that doesn’t mean that we should ignore everything else.

5. Alternative news sites try to comment on everything. They have sections on celebrity news, discovery news and they even have sections on funny videos and advances in technology and business. We don’t have to hear or read the same things over and over again. We know that murders happen and the economy is bad and they are things that we should know about, but what about everything else?
